Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the RemADE cloud services located at remade.dev and api.remade.dev, including the marketing website, license validation, update check-in, telemetry, and feedback endpoints (collectively, the “Cloud Services”), operated by AIR STUDIO LLC (“we”, “us”). Use of the RemADE desktop application is governed by the separate End User License Agreement presented when you install the App.

By using the Cloud Services, you agree to these Terms. If you do not agree, do not use the Cloud Services.

1. Eligibility

You must be at least 13 years old (or 16 in the EEA) to use the Cloud Services. If you are using the Cloud Services on behalf of an organization, you represent that you have authority to bind that organization.

2. Accounts and Licenses

Some features require a valid license key. You are responsible for keeping your license key confidential and for all activity that occurs under it. We may suspend or revoke licenses that we reasonably believe are being used in violation of these Terms.

3. Acceptable Use

You agree not to:

(a) interfere with or disrupt the Cloud Services or their underlying infrastructure; (b) attempt to gain unauthorized access to any portion of the Cloud Services; (c) reverse engineer the Cloud Services except as permitted by law; (d) use the Cloud Services to transmit unlawful, infringing, or harmful content; (e) use automated means (bots, scrapers, crawlers) except for the App’s documented integration; (f) circumvent license validation, rate limiting, or other technical protection measures.

4. Privacy

Personal data collected by the Cloud Services is handled as described in our Privacy Policy at remade.dev/privacy.

5. Fees and Subscriptions

Paid tiers are billed at the prices and intervals stated at the time of purchase. Refunds are governed by our Refund Policy at remade.dev/refunds, which offers a full refund within 30 days of purchase. We may change pricing prospectively; price changes will not apply until your next renewal.

6. Intellectual Property

The Cloud Services, including all software, content, trademarks, and designs, are owned by AIR STUDIO LLC or its licensors and are protected by intellectual property laws. No rights are granted except as expressly set forth in these Terms.

7. Service Changes and Availability

The Cloud Services are provided on an “as is” and “as available” basis. We may modify, suspend, or discontinue the Cloud Services, in whole or in part, at any time. We are not liable to you or any third party for any modification, suspension, or discontinuation.

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE CLOUD SERVICES ARE PROVIDED WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIR STUDIO LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE CLOUD SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) USD $50.

10. Indemnification

You agree to defend, indemnify, and hold harmless AIR STUDIO LLC and its officers and employees from any claim arising out of your use of the Cloud Services in violation of these Terms or applicable law.

11. Termination

We may suspend or terminate your access to the Cloud Services at any time if you violate these Terms. You may stop using the Cloud Services at any time.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Oregon, United States, without regard to conflict of law principles. Any dispute shall be resolved exclusively in the state or federal courts located in Jackson County, Oregon, and you consent to the personal jurisdiction of those courts.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated through the website or App. Continued use after the effective date of the updated Terms constitutes acceptance.
